1. Administration & Finance (A&F) Department

Administrative, Finance and Accounts related activities are done by Administration and Finance Department of the Commission. Mr. Md. Mahbubul Alam, Executive Director is acting as head of Administration and Finance Department. It has two wings, one is Administration wing and another is Finance wing.

Administration wing does the following activities:

  • Appointment of employees, transfer, training and human resource development;
  • Procurement of stationary, furniture & fixture and other assets;
  • Grant advances to the employees; and
  • Maintain administrative communication with the Ministry of Finance.

Finance wing does the following activities:

  • Make payment of employees’ salary and allowances bill;
  • Make payment of various bills;
  • Make payment of employees’ advances; and
  • Preparation budget and make payment of expenditure as per allocation of budget;
  • Preparation of accounts and maintain books of accounts and related vouchers, etc.

2. Capital Issue Department (Initial Public Offering has been renamed)

The functions of the Capital Issue Department are to deal with the following applications:      

  • Initial Public Offer (IPO) and Repeat Public Offer (RPO).
  • Capital rising of Public and Private Limited Company.
  • Issuance of Debt Securities.
  • Rights Issue of listed companies.

3.Capital Market Regulatory Reforms & Compliance (CMRRC) Department

The main functions of this department are:

  • CMRRC department drafts amendments of securities laws, suggests reforms of the market and provides clarifications.
  • This department also provides answer to the queries of the parliament and various statutory and regulatory bodies.

4. Central Depository System (CDS) Department

CDS Department oversights the functions and activities of Central Depository Bangladesh Limited (CDBL) and Depository Participants (DP) as well as conversion of physical share certificates of listed companies into dematerialized form, supervision of the issuance of securities, transfer of shares, supervision of BO accounts and issuance of directives/orders in these connections under the Depository Act, 1999. As a result of introducing depository system, transparency in securities issuance, trading and settlement has increased significantly and settlement period of securities transactions has also reduced.

6. Corporate Finance Department (CFD)

Following matters of listed companies are the working area of Corporate Finance Department:

  • Supervision & monitoring of compliance of Corporate Governance Guidelines (CGG);
  • Supervision & monitoring of proper preparation and presentation of financial statements in compliance with the International Accounting Standards (IAS) as applicable in Bangladesh and also in compliance with the securities laws;
  • Supervision & monitoring of the audit work as per International Standard of Auditing (ISA) as applicable in Bangladesh;
  • Supervision of timely submission of quarterly audited/unaudited financial statements and annual audited financial statements;
  • Examination of submitted financial statements;
  • Taking of  necessary actions/steps for non-compliances regarding financial statements and Corporate Governance Guidelines (CGG);
  • Supervision & monitoring of appointment of statutory auditors  in compliance with the Securities laws; and
  • Monitoring of the proper utilization of IPO/ RPO/ rights issue proceeds;

7. Enforcement Department

The main functions of this department are:

  • To issue show cause cum hearing notice to the accused.
  • To conduct hearing.
  • To Prepare a hearing proceedings.
  • To prepare a working paper for the Commission meeting decision.
  • The matter place before the Commission for kind decision along with the supporting documents.
  • Commission decision (dispose off, Warning, Penalty and Others) inform to the accused through letter.
  • If the accused did not pay penalty the matter send to the Commission’s Legal Service Department to take action at their end.

8. Financial Literacy Department

Financial Literacy department deals with training, education and allied matter related to Nationwide Financial Literacy Program of BSEC.

The vision of the Financial Literacy Program is to provide financial education to each and every people of Bangladesh. More precisely, BSEC wants to make individuals understood at their level of needs, the role of money in their lives, the need and use of savings, the advantages of using formal financial sectors, various ways to convert their savings into investments, develop self-protection through understanding risks and a realistic recognition of the attributes of these options.

Financial literacy gives the twin benefit of protecting from financial frauds as well as planning for financially secured future. Financial literacy gives consumers the necessary knowledge and skills required to assess the suitability of various financial products and investment opportunities available in the financial market.

9. International Affairs Department

International Affairs Department (IAD) is responsible for the following activities: 

  • Maintaining relationship with all the capital market regulators of the world; 
  • Maintaining constant liaison with the International Organization of Securities Commissions (IOSCO), including all its Committees and Working Groups; 
  • All matters related to IOSCO Multilateral Memorandum of Understanding (MMoU).
  • All matters related to Memorandum of Understanding (MoU) with Securities and Exchange Board of India ‍(SEBI).

10. Law Department

The main functions of this department are:

  • To prepare the plaint/complaint and written statement/Affidavit-in-Opposition on behalf of the commission and to furnish the same to the conducting lawyers of the Commission.
  • To Communicate with the conducting lawyers and to provide them with necessary information regarding the pending cases;
  • To act any function in the courts as per the instruction of the Commission (i.e to make deposition, to sign Affidavit etc);
  • To opine on different issues of other departments;
  • To prepare Annual and Quarterly report; and
  • To execute any other routine work;
  • To send the information to the Ministry as required.

11. Management Information Systems (MIS) Department

Functions of MIS department are development of automation for assisting different departments' activities, development of capital market monitoring system based on computerized data analysis, informing all about securities laws and other related matters through its website www.secbd.org, planning, operating, administering and supporting IT infrastructure at SEC and assisting the Commission in related areas.

12. Mutual Fund & Special Purpose Vehicle

Mutual Fund and SPV Department was established on 16 March, 2009. Latter, issuance of Asset Backed Securities and Alternatives Investment Fund were also included in Mutual and SPV Department. Now overall activities of Mutual and SPV Department are as followings:

  • Activities relating to Registration, Winding-up and Conversion of Mutual Funds and Supervision & Monitoring activities of parties involved in Mutual Funds.
  • Activities relating to Registration, Supervision and operation of Alternative Investment Fund and;
  • Activities relating to Registration & Supervision of Asset Backed Securities.

14. Research & Development (R&D) Department

Research and Development Department of the Commission conducts the following activities:

  • Arranges of Investor’s educational programs related to capital market for the general investors twice a month and for only women investors once a month.
  • Organizes capital market related presentation/seminar for various government and non-government organizations.
  • Prepares the Commission’s Annual Report and submit it to the government, publishes its English version, quarterly report (English), quarterly Parikrama (Bangla), special publication on Commission’s activities and booklet for investors on investment related issues.
  • Prepares paper clipping on capital market related news and circulate it to the Commission and executives.
  • Furnishes various information to the government, Banking and Financial Institution Division, Ministry of Finance and different regulatory authorities.

15. Supervision & Regulation of Markets and Issuer Companies (SRMIC)

The main functions of this department are:

  • Monitoring and supervising the affairs of stock exchanges.
  • Monitoring declaration about sale/purchase/transfer of securities by the sponsor /director of the listed companies.
  • Monitoring monthly shareholding position of sponsors/directors of Issuer Companies.
  • Monitoring disclosure requirement of price sensitive information of listed companies.
  • Approval of substantial acquisition of shares of listed companies.
  • Taking effective measure to address complaints against the issuer companies its sponsor’s and director’s.
  • Monitoring of AGMs/EGMs and dividend compliance reports for all listed companies.

16. Supervision & Regulation of Intermediaries (SRI) Department

SRI department deals with the compliance issues of all securities laws applicable for Market Intermediaries (MI) as well as policy matters and initiatives relating to issuance of required directive/guideline to protect the interest of the investors, structural capacity building and operational growth of them (MI). Intermediaries of the Capital Market are Stock Brokers, Stock-Dealers, Depository Participants, Merchant Bankers (MB), Asset Management Companies, Credit Rating Companies, Securities Custodians, Market Makers, Security lenders and Borrowers, Fund Managers etc.

Major Functions of SRI Department:

  • Supervise the activities of MI.
  • Conduct following Inspections:

      -Monthly (regular)

     -Special

                -Offsite

  • Conduct Enquiry/Investigation.
  • Entertain Complaints.
  • Conduct meetings with MI on different issues.
  • Prepare periodical reports relating to functional activities of MI.
  • Issue circulars/directives/guidelines to protect the interest of the investors.
  • Adopt policies to regulate business of MI.
  • Approves the appointment of Managing Director/CEO of Merchant Bankers.
  • Conduct training programs to enhance capacity of the employees of MI.
  • Co-ordinate and correspond with following government agencies: 

             -Bangladesh Bank.

            -Anti Corruption Commission.

            -National Board of Revenue.

            -Others.

17. Surveillance Department

Market Surveillance and Intelligence department monitors trading activities in the stock exchanges to limit and prevent any kind of market misconduct such as illegal short selling, insider trading, market manipulation and other market abuses by handling various alerts generated by InstantWatch Market Surveillance system.

  • Assessment of those alerts generated by ‘InstantWatch’ market surveillance system.
  • Actions taken after assessment of alerts:

                   - Dismissal of alerts

                   - Query to market intermediaries

                   - Conduction of enquiry/investigation

                   - Referred to SRI/investigation department

                   - Referred to Enforcement department

                   - Set up a pinpoint of alert trigger

                   - Continue investigation by creating a case

  • Day-to-day monitoring of market activities
